Why is it necessary for the company to have a Bulgarian address?

An official address in Bulgaria is necessary for the company registration. This address will be where the seat and management address of the company is located. All official correspondence with government institutions, authorities and your clients would be sent to this address as well.

What do your services include?

We would provide you with a company address in Bulgaria, which is located at Sofia’s center, right next to the European Commission’s building, saving you the expenses for renting costly office premises.

We would receive all your correspondence and inform you for it by sending the messages to your e-mail, along with the respective translation.

If you wish to hold a business meeting, we would offer you the opportunity to use our modern meeting room with all necessary facilities.

What is your remuneration for this service?

You will receive the opportunity to use a virtual office and a Bulgarian management address for your company for 28 € per month.

VAT registration

Why is a VAT registration necessary?

In case that you need your company to invoice clients outside of Bulgaria, the company needs to be VAT /VIES/ registered. After the VAT registration, up until the 14^th of the following month you will have to apply VAT declarations for all purchases and sales before the tax authorities.

In case that you are offering services outside of Bulgaria and your client is a foreign company with a valid VAT registration number, you will have to calculate 0% /zero per cent/ VAT in the invoice.

In case that your client is an individual /physical person/ or a legal entity, which does not have a VAT registration number or another Bulgarian company, you will have to calculate 20% VAT for all products and services (besides tourist services, for which the VAT is resp. 9%).

What is the term for VAT registration?

The term for VAT registration is from 2 to 3 weeks after the date of your company’s registration in the Bulgarian Commercial Registry and presenting all necessary documents. We would handle this process entirely after due authorization by a POA and we would prepare all necessary documents for you, as well as the company stamp that is necessary for the registration. You would also need to conclude a contract for the company’s accounting.

What is your remuneration for this service?

Our remuneration for the preparation of all necessary documents and your company’s VAT registration is 140 €, incl. all state fees and the company's stamp fee.

Opening of a current bank account

Why is a Bulgarian bank account necessary?

The company needs to have a bank account in order to receive payments. We can assist you by opening the company's bank account in EUR, USD or another currency preferred by you. All payments exceeding 5 000 € need to be made via bank transfer only.

What's necessary for opening the bank account?

We will consult you which would be the most suitable Bulgarian bank for your business' purpose and activity, as well as by providing you with the bank tariffs of the bank you choose to work with. We would need to receive an explicit authorization for opening your company's bank account, with which we could save you the trouble to travel to Bulgaria to open the account. We would not do any other actions with the account after it has been opened, unless you expressly ask us to assist you with a certain banking issue.

Have in mind that in order to have an online banking connected to this account, you would need to come personally to Bulgaria to receive the online banking passwords. Some banks would also require you to be personally present for receiving a debit/credit card, for which we shall notify you in advance, before opening the account.

What is your remuneration for this service?

We will give you all detailed information for the most effortless banking experience and recommend a bank suitable for your needs. We will prepare a POA and open your company bank account. Our remuneration for these services will be 120 €.

Set of company's documents with apostille

Why do I need apostilled documents for the company registration?

Apostilled company's documents are necessary in case you wish to present to an official authority (out of Bulgaria) proof that you have a company registered in Bulgaria. This may be necessary in case you wish to open a branch or an account of the company abroad.

What types of documents will I receive?

We could present you the following three documents:

1. Certificate for the registration of the company
2. Articles of Association of the company
3. Certificate that the company isn't in an insolvency or liquidation procedure.

Those documents shall be issued in Bulgarian and you will receive them in original, issued by the Bulgarian Commercial Registry and apostilled by our Ministry of Foreign Affairs.

What is your remuneration for this service?

The expenses for receiving each document, incl. all state fees and the apostille fee are about 90 € per document. The delivery and translation of the documents are not included in this price.

Joint-stock company (Jsc.) Registration

What is the joint-stock company?

The joint-stock company /Jsc./ is also known as "the anonymous company", is the appropriate company form for larger business, as it is comprised by capital larger than 25 000 €. The company's capital is divided into shares /stocks/, which can be either registered (containing the shareholder's name), bearer or dematerialized. The shareholders do not appear in the certificate for the company's registration, issued by Bulgarian Commercial Registry.

The joint-stock company is represented by the General Meeting of the Shareholders (only for matters of utmost importance) and by the Directors' Council (consisting of minimum 3 people; for all management matters).

What is necessary for the registration of a Jsc. company?

We would need information for the company name, shareholders /individuals or legal entities/ and the directors of the company. The registration takes 1 week from the date on which we receive all necessary documents which will be sent to you with all necessary clarifications in order to sign them.

How are shares transferred?

Unlike in the limited liability company /Ltd. or LLC/, the shares of which are transferred by a notarized agreement, the joint-stock company shares are transferred simply by handing them over to the new owner (in case of bearer shares) or via an express statement on the back of the share (in case of registered shares) and by registering the transfer in the shareholders' book.

Self-Insured Registration

Why is it necessary for me to register as a self-insured person?

In your company at least one individual needs to be insured and it's usually the manager. If the manager of the company is also a shareholder in the company, he/she can be registered as a self-insured person. In this case he/she will need to pay minimum social securities of about 70 € per month.

What is necessary for this registration?

You would need to provide to us a copy of the manager's ID card and due authorization for this registration. We will register the manager as a self-insured person within 3 days from the date on which we receive the documents. We will present you with detailed information regarding the terms and manner of payment of social securities in Bulgaria.
